TERMS & CONDITIONS · VERSION 2026-10-31

Clear terms.
A fair working relationship.

Effective 31 October 2026. These terms govern the FolioTern website and subscription services. “FolioTern”, “we” and “us” mean the service operator trading as FolioTern, identified as the merchant on your checkout and payment receipt. You can contact the operator through the support form, including for billing, legal and privacy matters.

1. Agreement and eligibility

By creating an account or using the service, you agree to these terms and acknowledge the Privacy policy. A paid order also requires your express acceptance of the selected recurring price and billing period. You must be at least 18, or the age at which you can enter a binding contract where you live. If acting for an organisation, you confirm that you have authority to bind it. Do not use the service if you cannot agree to these terms.

2. What the service provides

FolioTern provides personal administration and business workflow tools, including tasks, projects, bills, subscription records, notes, spreadsheets, reports and team requests. Features and limits depend on your plan, as described on Pricing and within each tool. Third-party services, browser capabilities and your configuration can affect particular features. We do not promise a business result, revenue, savings, uninterrupted access or compatibility with every file.

FolioTern is not a bank, payment-initiation service, accountant, tax adviser, law firm, investment adviser, certified HR system or enterprise resource planning system. Tracking a bill as paid does not transfer money. Approving a request does not make a payment, grant external access or change employment terms. Cancel an outside subscription with its provider and verify the provider’s confirmation yourself.

3. Your account and workspace access

Keep your sign-in secure and tell us promptly about suspected misuse. You are responsible for instructions sent from your account, except where applicable law places responsibility on us. Only access records you are authorised to use. Owners control workspace invitations and membership. Every accepted member can read the contents of that workspace; editors can change permitted records and viewers can read and export. Keep restricted people or business information in a separate workspace with appropriate membership. Removing access cannot recall copies already downloaded.

4. Prices, renewals and payment

Prices are in US dollars unless checkout states otherwise. Monthly subscriptions renew each month; annual subscriptions require the full yearly price upfront and renew annually. Checkout shows the recurring amount, billing period and applicable taxes before you pay. Taxes may depend on your location and the merchant’s registrations. Your payment is processed by Stripe; we do not store full payment-card numbers.

Paid access starts after the server verifies a successful payment and qualifying subscription. A checkout redirect alone does not grant a plan. You authorise recurring charges for your selected subscription until it is cancelled. You are responsible for keeping payment details current. Failed, reversed, refunded or disputed payments can suspend paid features while we review the account; this does not remove non-waivable rights.

Plan changes, their effective date and any prorated charges or credits are shown before confirmation. We will notify you at least 30 days before an increase to your existing subscription price takes effect on a future renewal, unless a shorter period is required by law. You may cancel before that renewal. Crossed-out annual comparisons are the total of 12 monthly payments at the current listed monthly price; they are not previous selling prices.

5. Cancellation and refunds

Use Manage billing to cancel a future renewal or contact support if you cannot access it. Unless the checkout for your plan states otherwise, cancellation takes effect at the end of the paid period, with access retained until then. Deleting a workspace, logging out or not using the service does not cancel a subscription.

We review refund requests for duplicate or unauthorised charges, billing errors and material service failures. Contact support with your account email, payment date and a description; never send card numbers. Except where the law requires a refund, a cancellation or change of mind does not automatically create a refund for a partly used monthly or prepaid annual period. If we permanently discontinue a paid service without your breach and cannot provide a reasonable replacement, we will refund the unused prepaid portion. This policy does not limit mandatory consumer remedies, withdrawal rights or payment-dispute rights.

6. Allowances and fair use

Plan limits include workspace data storage, records, seats, saved workflows and, where enabled, AI scans. Limits are enforced on the server for saved data and paid operations. Browser-local processing also depends on the memory and capabilities of your device. A workspace is limited to a single selected currency; currency selection does not convert amounts.

AI allowances are shared across workspaces owned by the same account and their members, reset each UTC calendar month, do not roll over and have no cash value. A completed extraction consumes one scan; reopening or importing the same retained draft does not consume another. Safety, technical and service processing limits can temporarily restrict requests. We do not automatically bill you for extra AI scans. Contact us if a restriction prevents material use of a paid feature.

On downgrade or expiry, new growth and paid actions may be restricted. Existing records remain available to read and export subject to account security, applicable retention requirements and service operation. Keep your own backups. If we need to remove inactive data or close the service, we will give reasonable notice and an opportunity to export where lawful and practicable.

7. AI receipt and bill extraction

Scanning sends the image you approve to OpenAI for extraction. Upload only documents you have permission to process and remove unnecessary personal or confidential information. FolioTern does not retain the image as an account attachment. Extracted drafts and usage metadata may be stored as described in the Privacy policy; the AI provider processes data under its own applicable data controls.

AI can misread, omit or invent details. Confidence labels are not accuracy guarantees. Before confirming an expense or bill, check its vendor, final total, currency, dates, category, reference and payment status against the source. Only your confirmation authorises adding the reviewed record. Scanning is not payment verification, tax validation, fraud detection, document authentication or professional advice. Keep the original document and review duplicates, particularly if you have entered the same cost elsewhere.

8. Files, exports and reports

You retain rights to your inputs and resulting records. You grant us and necessary service providers permission to process them only to provide, secure and support the service as described in the Privacy policy. You are responsible for having the required rights, permissions and legal basis for personal data you submit.

Spreadsheet tools process supported table values; formatting, formulas, charts and identifiers may change or require review. PDF page operations do not securely redact information or preserve certified signatures. Image conversion may change colours or metadata. Reports and forecasts rely on entered records and assumptions; a weekly cash close can hide a lower balance within the week. Calendar files are snapshots and do not guarantee reminders. Validate outputs before reporting, importing or making decisions.

9. Acceptable use

Do not use the service for unlawful activity, fraud, malicious files, spam, unauthorised access, infringement or harassment. Do not bypass plan limits, probe another customer’s data, overload infrastructure, resell shared account access or interfere with security controls. Normal interoperability rights and other rights protected by law remain unaffected. We may restrict abusive traffic proportionately to protect the service and other customers.

10. Confidentiality and personal data

Do not submit payment credentials, passwords, unnecessary identity documents, medical records or similarly sensitive data through ordinary support or shared admin workspaces. We use reasonable technical and organisational safeguards, but no online service can guarantee absolute security. Tell us about a suspected breach through the privacy category of the support form. The Privacy policy explains processing purposes, service providers and how to request access, correction or deletion.

11. Intellectual property

FolioTern’s software, branding, interface and service materials belong to their respective rights holders. Your subscription provides a limited right to use the service for your lawful personal or internal business purposes during the applicable period. It does not transfer ownership of the software or permit use of our branding to imply endorsement. Your files, data and business materials remain yours.

12. Support, maintenance and changes

Support is available through the website form and signed-in support history. We do not promise a particular response time unless agreed separately in writing. We may maintain, update or improve the service and may temporarily interrupt it. We will use reasonable efforts to avoid materially reducing a paid plan during its prepaid period without a reasonable alternative or an appropriate remedy.

Third-party systems, network failures and events outside reasonable control can affect availability. No production service-level agreement, enterprise single sign-on, bank feed, payroll, automatic provider cancellation or unattended external workflow execution is included unless expressly agreed.

13. Suspension and termination

We may suspend access where reasonably necessary for a security incident, unlawful use, material breach or unresolved payment issue. We will give notice and a reasonable opportunity to resolve the issue when appropriate, unless doing so would create a security or legal risk. We may terminate for a material breach that is not remedied after notice. Termination does not remove payment obligations already properly incurred or rights that survive under law. We will provide a reasonable export opportunity where lawful and safe.

14. Liability

We will provide the service with reasonable care and skill. To the extent permitted by applicable law, we are not responsible for losses caused by inaccurate source data, unreviewed AI drafts, unauthorised sharing by you or third-party services outside our control. To that extent, our total liability arising from the service in a 12-month period is limited to the greater of US$100 and the fees you paid us for the service in that period; indirect or consequential business losses are excluded where the law permits.

Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability or consumer right that cannot lawfully be excluded or limited. A limitation applies only to the extent it is lawful and, where required, reasonable. If a provision is unenforceable, it is limited to the lawful extent and the remaining terms continue to apply.

15. Complaints, law and disputes

Contact support first with the issue and the remedy you seek so we can try to resolve it. Singapore law governs these terms, without overriding mandatory protections of the law that applies to you as a consumer. Singapore’s courts have non-exclusive jurisdiction, subject to any mandatory right to bring a claim elsewhere or use a statutory dispute-resolution process.

16. Updates and contact

We may update these terms with a new effective date. We will give reasonable advance notice of material changes affecting existing paid subscriptions, except urgent changes needed for law or security. Changes are not retroactive. If a material change is unacceptable, contact us or cancel before the next renewal. These terms, the Privacy policy, your selected plan and any expressly agreed written order form the agreement, subject to mandatory law.
